The AVDesk platform — including the AVDesk control plane, the on-site AV Control Server ("Ody") software, all application programming interfaces, source and object code, databases, data models, user interfaces, designs, graphics, logos, icons, text, documentation, and the selection, arrangement and structure of all of the foregoing (collectively, the "Software") — is the copyrighted work of AVDesk and is protected by the Copyright Act 1968 (Cth), international copyright treaties, and other intellectual-property laws.
In short: AVDesk is proprietary, commercial software provided as an online service. You may not copy, reproduce, republish, distribute, resell, or create derivative works from any part of it. Nothing on this site or within the platform grants you any ownership of the Software.
02 Ownership & intellectual property
AVDesk and its licensors retain all right, title and interest in and to the Software, including all intellectual-property rights. The Software is licensed, not sold. No title to or ownership of any part of the Software is transferred to any customer, user or third party under any circumstances.
All trade names, trademarks, service marks, logos, page headers, custom graphics and button icons are proprietary to AVDesk. Any rights not expressly granted in a written agreement with AVDesk are reserved.
03 Restrictions on use
Except to the limited extent expressly permitted by a written licence or subscription agreement with AVDesk, you must not, and must not permit any third party to:
- copy, reproduce, duplicate, mirror, frame, scrape, harvest or otherwise capture any part of the Software, its code, its interfaces, its data structures or its content;
- republish, distribute, transmit, display, sell, rent, lease, sublicense, lend, assign or otherwise make the Software available to any third party;
- modify, adapt, translate, or create derivative works based on the Software, in whole or in part;
- reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats or structure of the Software;
- remove, obscure or alter any copyright, trademark or other proprietary-rights notice contained in or on the Software;
- access the Software in order to build, train or assist a competing or substantially similar product or service, or to benchmark it without written consent;
- use any automated means (bots, crawlers, scripts) to extract data from, or replicate the functionality or appearance of, the Software;
- circumvent, disable or interfere with any security, authentication, rate-limiting, licensing or access-control feature of the Software.
Unauthorised reproduction is prohibited. Any reproduction or copying of the Software, in any form or medium, without the prior written permission of AVDesk is strictly forbidden and constitutes an infringement of AVDesk's intellectual-property rights.
04 Hosted (online) software
AVDesk is delivered as a hosted, online software-as-a-service platform. Access is provided over the internet for the term and scope of your subscription only. You are granted access to use the running service — you are not provided with, and acquire no right to, a copy of the Software for installation, retention, redistribution or independent operation.
The on-site AV Control Server ("Ody") and any edge components or agents supplied as part of a deployment remain the property of AVDesk and are licensed solely for operation as part of the AVDesk service at the customer's authorised sites. They may not be copied, imaged, extracted, repackaged or run independently of the AVDesk service.
05 Limited licence to use
Subject to your compliance with these terms and any applicable subscription agreement, AVDesk grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software for your internal business purposes during your subscription term. This licence terminates automatically on expiry or termination of your subscription, or on any breach of these terms.
This licence does not include any right to the Software's source code, and confers no ownership or other proprietary interest of any kind.
06 Trademarks
"AVDesk", the AVDesk logo, "Ody", and related names, marks and logos are trademarks of AVDesk. You may not use these marks without the prior written permission of AVDesk. Other product and company names referenced in the Software may be the trademarks of their respective owners and are used for identification purposes only; such reference does not imply endorsement.
07 Customer content
The data, asset records, configurations and other materials that a customer enters into the platform ("Customer Content") remain the property of the customer. AVDesk claims no ownership of Customer Content and processes it only as needed to provide the service and as set out in the applicable agreement and privacy policy. This copyright notice applies to the Software itself, not to a customer's own data.
Any feedback, suggestions or ideas you provide about the Software may be used by AVDesk without restriction or obligation.
08 Enforcement & infringement
AVDesk takes the protection of its intellectual property seriously and will enforce its rights to the fullest extent of the law. Unauthorised copying, reproduction or distribution of the Software may result in suspension or termination of access, and civil and/or criminal liability.
If you become aware of any unauthorised copying, reproduction or other infringement of the Software, or believe that content within the platform infringes your rights, please notify us using the contact details below so we can investigate.
09 Disclaimer of warranties & limitation of liability
Except as expressly stated in a written agreement, the Software is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory, to the maximum extent permitted by law. Nothing in this notice excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
To the maximum extent permitted by law, AVDesk will not be liable for any indirect, incidental, special, consequential or punitive loss arising out of or in connection with the Software or these terms.
10 Governing law
This notice and any dispute arising from it are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State and the Commonwealth of Australia.
